These terms and conditions outline the rules and regulations for the use of Ambica Info Servies's Website, located at https://www.clerkflo.com.

By accessing this website, webapp and mobile application, we assume you accept these terms and conditions. Do not continue to use clerkflo if you do not agree to take all of the terms and conditions stated on this page.

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of ClerkFlo, including our product ClerkFlo CA (Contractors' Assistance), provided as a web platform and Android application (collectively, the "Service"), operated by sole proprietorship firm Ambica Info Services ("ClerkFlo," "we," "us," "our"). By creating an account or using the Service, you ("Customer," "you," "your organization") agree to these Terms. If you are accepting on behalf of an organization, you represent that you have authority to bind that organization.

2. The Service

ClerkFlo is a multi-tenant SaaS platform that helps contractor organizations manage:

  • Job tracking (permit → started → completed) across sites, branches, and plants

  • Billing summary generation and approval workflows (draft → saved → approved → processed → closed)

  • Labour tracking, including attendance, computed wages, and payments

  • Role-based access control for admins and supervisors

3. Accounts & Access

  • You must provide accurate information when creating an account and keep login credentials confidential.

  • Your organization's admin(s) are responsible for managing user roles and access permissions (including supervisor-level restrictions) within your organization.

  • You are responsible for all activity that occurs under your organization's account, including actions taken by users you've granted access to.

  • We reserve the right to suspend accounts suspected of unauthorized access, fraud, or misuse.

4. Customer Data & Responsibilities

  • You retain ownership of all data you input into the Service, including contract details, contract pricing, service line details, job records, and labour data ("Customer Data").

  • You are solely responsible for the accuracy of Customer Data you or your users input, including contract pricing, service line counts, job statuses, attendance, and wage information. Billing summaries and calculations generated by the Service are based entirely on the data provided; ClerkFlo is not responsible for billing errors caused by inaccurate, incomplete, or outdated input data.

  • You are responsible for reviewing and approving billing summaries before they move to "processed" status in the workflow.

  • You grant ClerkFlo a limited license to use, store, and process Customer Data solely to provide and improve the Service, as described in our Privacy Policy.

5. Fees & Payment

  • ClerkFlo CA is billed on a usage-based model, calculated per billing period based on active users, contracts, billing summary entries, and labour records, as detailed on our Pricing page.

  • Fees are exclusive of applicable taxes (e.g., SGST/CGST), which will be added to invoices as required by law.

  • Invoices are due as specified at checkout or in your service agreement. Late or failed payments may result in suspension of access after notice.

  • Prices may change with prior notice; continued use after a price change constitutes acceptance.

  • Fees, once paid, are non-refundable except as required by law or expressly stated in a separate written agreement.

6. Data Confidentiality Between Organizations

As described in our Privacy Policy, ClerkFlo maintains logical data isolation between customer organizations. Your Customer Data will not be shared with other organizations on the platform, and internal visibility within your organization is governed by the role-based access permissions your admins configure.

7. Acceptable Use

You agree not to:

  • Use the Service to input false, fraudulent, or misleading billing or labour data with intent to deceive

  • Attempt to access data belonging to another organization, or bypass role-based access restrictions

  • Reverse-engineer, scrape, or interfere with the Service's normal operation, including its AI-assisted features

  • Use the Service in violation of applicable labour, tax, or contracting laws

8. Intellectual Property

The Service, including its software, design, AI models, and underlying technology, is owned by ClerkFlo and protected by intellectual property laws. These Terms do not grant you any ownership rights in the Service itself — only a limited right to use it as intended.

9. Service Availability

We aim to provide reliable access to the Service but do not guarantee uninterrupted or error-free operation. We may perform maintenance, updates, or modifications that temporarily affect availability, and will provide notice where reasonably possible for planned downtime.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available." While we design ClerkFlo CA to automate and improve billing accuracy, we do not warrant that the Service will be error-free, uninterrupted, or that calculated billing summaries will be free of discrepancies arising from input data, third-party systems, or unforeseen technical issues.

11. Limitation of Liability

To the maximum extent permitted by law, ClerkFlo shall not be liable for indirect, incidental, special, or consequential damages, including lost revenue or lost profits, arising from use of the Service. Our total liability for any claim relating to the Service shall not exceed the fees paid by your organization in the [3/6/12] months preceding the claim. This limitation does not apply to liability that cannot be excluded by law (e.g., gross negligence, willful misconduct).

12. Indemnification

You agree to indemnify and hold ClerkFlo harmless from claims, damages, or expenses arising from your misuse of the Service, violation of these Terms, or violation of applicable law, including disputes with your own employees, contractors, or clients arising from billing or labour data you manage through the Service.

13. Termination

  • You may terminate your account at any time by contacting us or through account settings, subject to any minimum term in your service agreement.

  • We may suspend or terminate access for breach of these Terms, non-payment, or misuse, with notice where reasonably possible.

  • Upon termination, you may request export of your Customer Data within [30] days, after which it may be deleted per our data retention policy.

14. Changes to the Service or Terms

We may update these Terms from time to time. We will notify organization admins of material changes via email or in-app notice. Continued use of the Service after changes take effect constitutes acceptance.

15. Governing Law

These Terms are governed by the laws of [Jurisdiction, e.g., India], without regard to conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of the courts of [City, State].
